FILTRACON® General Terms and Conditions (GTC)

1. Validity of the terms and conditions

1. These General Terms and Conditions (GTC) apply to all deliveries, services, and offers provided by FILTRACON® in its business dealings with its customers and in connection with the use of the FILTRACON® website.
2. Any deviating or supplementary terms and conditions of the customer shall not become part of the contract unless FILTRACON® has expressly agreed to their validity in writing. In the event of a business relationship with a customer and a legal conflict between the provisions of these GTC and an individual written contract between the parties and/or the GTC of FILTRACON®, those provisions shall take precedence over these GTC.

2. Offer and conclusion of contract

1. FILTRACON®'s offers are subject to change and non-binding. The contract is only concluded upon written order confirmation by FILTRACON® or upon delivery.
2. Product information, drawings, or other technical specifications are non-binding unless expressly designated as binding.
3. We reserve the right to make technical changes and changes to the shape, color, or weight within reasonable limits.
4. In case of doubt, the individual written and hand-signed contract and the GTC shall take precedence with regard to the subject matter of the offer and the execution of the contract. Otherwise, the provisions of these GTC shall apply without restriction.

3. Prices and payment terms

1. The prices quoted are in Swiss francs (CHF) plus the applicable statutory value-added tax and excluding shipping costs.
2. Unless otherwise agreed, invoices are payable within 30 days net.
3. If the customer defaults on payment, FILTRACON® is entitled to charge default interest at the statutory rate. Otherwise, FILTRACON®'s General Terms and Conditions of Business apply.
4. All claims become due immediately if the customer defaults or their financial situation deteriorates significantly.

4. Delivery and transfer of risk

1. Delivery times are non-binding unless they have been expressly confirmed in writing.
2. FILTRACON® is entitled to make partial deliveries, provided that these are reasonable for the customer.
3. The risk is transferred to the customer as soon as the goods have been handed over to the transport company.
4. If shipment is delayed for reasons for which the customer is responsible, the risk shall pass to the customer upon notification that the goods are ready for shipment.

5. Default of acceptance

1. If the customer does not accept the goods within 10 days of the agreed delivery date, FILTRACON® may set the customer an additional grace period of 10 days.
2. If the customer allows this period to elapse without acceptance, FILTRACON® may either insist on fulfillment of the contract or withdraw from the contract and, in either case, claim damages.
3. FILTRACON® is entitled to claim either a flat rate of 25% of the purchase price as compensation or to claim the actual damage incurred.

6. Warranty and liability

1. FILTRACON® provides a warranty in accordance with legal requirements.
2. No warranty shall apply in the event of improper use, storage, or modification of the goods by the customer.
3. The customer must report defects in writing immediately, at the latest within 5 days of receipt of the goods, otherwise a complaint is considered late and has no effect.
4. Claims for damages by the customer are excluded, unless they are based on intent or gross negligence on the part of FILTRACON® or relate to the breach of essential contractual obligations.
5. Any further liability, in particular for indirect or consequential damages, is excluded to the extent permitted by law.

7. Indemnification

1. The customer shall indemnify FILTRACON® and its affiliated companies and representatives against all third-party claims arising from breaches of duty by the customer or from the improper use of the delivered goods.

8. Returns

1. Returns will only be accepted after prior agreement.
2. The return shipment must be freight-free and include a copy of the invoice.

9. Retention of title

1. The delivered goods remain the property of FILTRACON® until full payment has been received.
2. The customer undertakes to agree to the entry of the retention of title in the retention of title register at the request of FILTRACON®.
3. The customer is obligated to treat the goods with care and to immediately inform us of any access by third parties to the goods subject to retention of title.

10. Data protection

1. FILTRACON® processes the customer's personal data exclusively for the purpose of contract execution and in compliance with the applicable data protection regulations.
2. Data will only be passed on to third parties if this is necessary for the fulfillment of the contract.

11. Final provisions

1. Swiss law applies, excluding the UN Convention on Contracts for the International Sale of Goods.
2. The place of performance and jurisdiction for all disputes is the registered office of FILTRACON®.
3. Should individual provisions of these General Terms and Conditions be or become invalid, the validity of the remaining provisions shall remain unaffected.
